Terms of Service

1. Agreement to these terms

These Terms of Service ("Terms") are a legal agreement between you (or the entity you represent) and autodmig ("autodmig", "we", "our", "us") governing your access to and use of our website, dashboard, APIs, and any related services (together, the "Service").

By creating an account, signing in with Facebook, or otherwise using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy and Cookie Policy. If you do not agree, do not use the Service.

2. Definitions

Customer
The individual or legal entity that has an account with us.
End User
Any Instagram or Facebook user who interacts with workflows the Customer has configured.
Customer Data
All data submitted to, or generated through, the Service by or on behalf of the Customer, including workflow definitions, message templates, message logs and subscriber lists.
Meta
Meta Platforms, Inc., owner of Facebook, Messenger and Instagram.

3. Eligibility

You may use the Service only if you:

  • are at least 13 years old (16 in the EEA / UK), or the age of digital consent in your jurisdiction;
  • have legal capacity to form a binding contract;
  • are not barred from using the Service under applicable law (including export-control or sanctions law);
  • own or control the Facebook Pages and Instagram accounts you connect to the Service.

4. Your account

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at vedvyas1414@gmail.com if you suspect unauthorized access.

You agree to provide accurate, complete and current information and to keep it up to date. We may suspend or terminate accounts created with false or misleading information.

5. License & access to the Service

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes during the term of your subscription.

You will not, and will not permit any third party to:

  • copy, modify, translate or create derivative works of the Service;
  • reverse-engineer, decompile or attempt to extract the source code, except to the extent permitted by law;
  • resell, sublicense, time-share or rent the Service;
  • circumvent or disable security or rate-limiting features;
  • use the Service to build a competing product.

6. Acceptable Use Policy

You will not use the Service to send messages or perform actions that:

  • are spam, unsolicited bulk messaging, harassment, hate speech or threats;
  • impersonate any person or entity or misrepresent your affiliation;
  • infringe intellectual-property, privacy or publicity rights;
  • promote illegal activity, fraudulent schemes, malware, phishing or pyramid schemes;
  • contain sexually explicit content involving minors, or content prohibited by Meta's Community Standards;
  • circumvent Meta's messaging windows, rate limits, or any other Meta platform restriction;
  • scrape, mass-download or store Meta data outside what is needed to operate the Service.

Violations may result in immediate suspension or termination, and we may report unlawful activity to authorities and to Meta. We may also throttle or block automation that triggers Meta's anti-spam systems.

7. Meta compliance

The Service integrates with the Meta Graph API. Your use of those integrations is also governed by:

You are responsible for ensuring the content you send through automated workflows complies with those terms. We are not affiliated with, endorsed by, or sponsored by Meta. "Facebook", "Instagram" and "Messenger" are trademarks of Meta Platforms, Inc.

8. Subscriptions & billing

Some features require a paid plan. Plans are billed in advance on a monthly or annual basis and renew automatically until cancelled. Prices, DM limits and feature inclusions are listed on the pricing page and inside the billing dashboard.

  • You authorize us (and our payment processor) to charge your payment method for all fees and applicable taxes.
  • If a charge fails, we may retry, suspend the account, or downgrade you to the free tier.
  • Usage in excess of your plan's limits may incur overage charges or be rejected by the Service.

9. Cancellation & refunds

You may cancel at any time from the billing dashboard. Cancellation takes effect at the end of the current billing period; you keep access until then.

Except where required by law, fees are non-refundable. We may, at our sole discretion, issue partial refunds for unused portions of an annual plan.

EU consumers have a 14-day statutory withdrawal right that ends as soon as we begin providing the digital service with their consent.

10. Intellectual property

The Service, including its design, code, logos and documentation, is the exclusive property of autodmig and its licensors and is protected by copyright, trademark and other laws.

Your data is yours. You retain all rights, title and interest in your Customer Data. You grant us a worldwide, non-exclusive, royalty-free license to host, process, transmit and display Customer Data solely to provide the Service to you.

11. Feedback

If you provide ideas, suggestions, or feedback, you grant us a perpetual, irrevocable, royalty-free license to use them for any purpose without obligation to you.

12. Disclaimers

The Service is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory. We do not warrant that the Service will be uninterrupted, error-free, secure, or that any messages will be delivered. Meta may at any time, without notice, change permissions, rate limits, or webhook delivery — features dependent on Meta may be reduced or suspended as a result.

To the fullest extent permitted by law, we disclaim all implied warranties of merchantability, fitness for a particular purpose and non-infringement.

13. Limitation of liability

To the fullest extent permitted by law, in no event shall autodmig, its officers, directors, employees or agents be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, including lost profits, lost revenue, lost data or business interruption, arising from or related to your use of the Service.

Our aggregate liability for any claim arising under these Terms is limited to the amounts you paid us in the twelve (12) months immediately preceding the event giving rise to the claim, or US$100, whichever is greater.

14. Indemnification

You agree to indemnify, defend and hold harmless autodmig from and against any claims, liabilities, damages, losses, costs and expenses (including reasonable attorneys' fees) arising out of or related to (a) your breach of these Terms, (b) your Customer Data, (c) your messaging activity through the Service, or (d) your violation of any applicable law or third-party right.

15. Termination

These Terms apply for as long as you use the Service. We may suspend or terminate your access immediately, with or without notice, if you breach these Terms, if required by law, or to protect the integrity of the Service.

Upon termination, your right to use the Service ceases. You may export Customer Data within 30 days after termination by contacting us; thereafter, we may delete it as described in our data retention policy.

16. Governing law & dispute resolution

These Terms are governed by the laws of —, without regard to its conflict-of-law rules. The parties submit to the exclusive jurisdiction of the courts located in that jurisdiction, except that either party may seek injunctive relief in any competent court.

Nothing in these Terms affects mandatory consumer protection rights granted by the law of the consumer's country of residence.

17. Changes to these Terms

We may update these Terms from time to time. The "Last updated" date at the top reflects the most recent change. Material changes will be communicated by email or in-app notice at least 14 days before they take effect; continued use of the Service after that date constitutes acceptance.
